J.P. Morgan Wholesale Payments App Terms of Use

Introduction
Please read these terms and conditions (this “Agreement”) carefully. By accessing or using the J.P. Morgan Wholesale Payments Application (“App”), you acknowledge and agree to be bound by the terms of this Agreement. This Agreement is a legal agreement between you and JPMorgan Chase Bank, N.A., provider of the App. As used herein, the terms “us”, “we”, “our”, or “JPMorgan” mean JPMorgan Chase Bank, N.A. This Agreement shall apply to any person (referred to herein as “you”, “your” or “user”) who visits, accesses or uses any part or feature of the App.

This Agreement is subject to change without notice, from time to time in our sole discretion. We will notify you of amendments to this Agreement by posting an updated version of this Agreement in the App, or by other appropriate means. You are responsible for being familiar with the current version of this Agreement posted in the App during each session. If, now or at any time in the future, you do not agree with this Agreement, please immediately discontinue access to and use of this App
J.P. Morgan, JPMorgan, JPMorgan Chase and Chase are marketing names for certain businesses of JPMorgan Chase & Co. and its subsidiaries worldwide. Products or services may be marketed and/or provided by commercial banks such as JPMorgan Chase Bank, N.A., securities or other non-banking affiliates or other JPMorgan entities. JPMorgan contact persons may be employees or officers of any of the foregoing entities and the terms “J.P. Morgan”, “JPMorgan”, “JPMorgan Chase” and “Chase” if and as used herein include as applicable all such employees or officers and/or entities irrespective of marketing name(s) used.

Notwithstanding any other provision of this Agreement, we reserve the right to change, suspend, remove, or disable access to the App or any content or other materials comprising a part of the App at any time without notice, and you acknowledge and agree that in no event will JPMorgan have any liability for such actions. JPMorgan may also impose limits on the use of or access to certain features or portions of the App, without notice or liability. You should not rely on continued access to the App for any purpose.

You are strictly prohibited from unauthorized use of this App, including but not limited to unauthorized entry into our systems, or misuse of any information or data posted to this App. You agree that (i) you will not engage in any activities related to this App that are contrary to applicable law, regulation or the terms of any agreements you have with us. You agree that you will not use any robot, spider, other automatic device or manual process to monitor or copy our pages, data or the content contained herein or for any other unauthorized purpose without our prior expressed written permission.

The material contained in this App is not intended to be legally binding. The provision of any products, or services other than this App is subject to the terms of separate legally binding documentation and may be subject to change without notice.

Intellectual Property

License Grant
Subject to this Agreement, JPMorgan hereby grants to you a non-exclusive, non-transferable, revocable, limited, personal license (“License”) to install and use the App for your personal use. You may not, and will not allow or cause any third party to: (a) decompile, reverse engineer, disassemble, attempt to derive the source code of, or modify the App, or use the App to develop functionally similar applications; (b) copy the App; (c) sublicense, distribute, export or resell the App or otherwise transfer any rights; (d) remove any proprietary or intellectual property rights notices or labels from the App; or (e) remove any proprietary or intellectual property rights notices or labels on any information, content, or other materials on or obtained from this App, whether through links or otherwise (collectively, “Content”). All rights not expressly granted to you herein are expressly reserved.

JPMorgan owns all right, title and interest in and to the App and any modifications or updates thereto.

This License is valid until terminated by you or us. We may terminate the License at any time or for any reason. Your rights under this License will terminate immediately if you breach any term of this Agreement. Upon termination of this License, you shall immediately discontinue use of the App and delete the App.
You agree that you will not use the App, the Content or any services related thereto for any purposes prohibited by law.

Copyright Notices

The works of authorship contained in this App, including but not limited to all design, text, sound recordings, and images, are owned, except as otherwise expressly stated, by JPMorgan Chase & Co. or one of its subsidiaries. In the event any of the terms or provisions of this Agreement are be held to be unenforceable, the remaining terms and provisions shall be unimpaired and the unenforceable term or provision shall be replaced by such enforceable term or provision as comes closest to the intention underlying the unenforceable term or provision. This Agreement shall be subject to any other agreements you have entered into with JPMorgan. Your access to and use of the App, and the terms of this Agreement are governed by the laws of the State of New York.

Any action against JPMorgan arising from or relating to your access to and use of the App and the provisions of this Agreement must be brought by you in state or federal court located in the State of New York, County of New York. You consent to the jurisdiction and venue of the state and federal courts located within the State of New York, County of New York, for the adjudication of all claims by JPMorgan against you arising from or relating to your access to and use of the App and the provisions of this Agreement.
